1. INTRODUCTION

These Merchant Terms and Conditions ("Terms") govern the contractual relationship between QDeals Philippines ("Company", "we", "us", "our") and the vendors, service providers, or event organizers ("Merchant", "you", "your") offering their products or services on our online marketplace platform ("Platform"). By signing up as a Merchant and offering your products, services, or events on our platform, you unconditionally agree to abide by these Terms.

2. DESCRIPTION OF SERVICES

The Platform operated by QDeals Philippines is an online marketplace that allows users to discover and purchase deals in the form of coupons redeemable for a variety of services, products, and events.

3. MERCHANT OBLIGATIONS

3.1 Acceptance of Coupons:

You are obligated to accept all coupons purchased by buyers from our Platform, subject to the terms and conditions specified for each deal. You will honor the coupons without discrimination or prejudice towards any customer.

3.2 Expired Coupons:

In the event a coupon has expired, you agree to honor the original purchase value of the coupon. Additional promotional values or discounts associated with the expired coupon may not be applicable.

We reserve the right to terminate this agreement and your access to our Services at any time, with or without cause, and with or without prior notice. Such termination can result from violation of these Terms, failure to maintain service quality, or any other action or omission that we determine, in our sole discretion, is detrimental to the operation and reputation of our Platform.

3.3 Service Quality:

You commit to providing quality service that is in compliance with all applicable laws, regulations, and industry standards. You acknowledge that your ability to provide quality service affects your reputation and the reputation of the Platform.

3.4 Business Documentation and Background Check:

By signing up, you consent to a business background check and agree to provide all necessary business documentation required by Philippine law. Such documentation may include but is not limited to business licenses, permits, and tax compliance certificates.

3.5 Deal Offerings:

You may offer a maximum of three distinct deals on our platform at any given time. You acknowledge that we reserve the right to review and approve all deals before they are published on the Platform.

3.6 Rating Maintenance:

You are required to maintain a minimum average rating of 3.5 stars out of 5, based on customer reviews on our Platform. In the event that your rating falls below this threshold, we reserve the right to cancel your service or suspend your Merchant account on the Platform.

4. PAYMENTS, FEES, AND CHARGES

4.1 Payment Schedule:

Payment for your sales will be disbursed every Monday of the Week

4.2 Commission Structure:

We will deduct a 20% commission fee from the total sales made through the deals offered on the Platform. This commission covers the use of our platform and services, including marketing, sales processing, and customer service.

We reserve the right to revise, modify or update these Merchant Terms and Conditions at any time. We will notify you of any changes by posting the updated Terms on our Platform and changing the "Last Updated" date accordingly.
